These Terms of Use (“Terms”) constitute a legally binding agreement between you and Zimchat.com. (along with its owners, operators, affiliates, successors, and assigns, collectively referred to as “Zimchat,” “we,” “us,” or “our”), operating from Ontario, Canada.

By accessing or using zimchat.com (the “Platform”), including any chat, messaging, ads, listings, marketplace, forums, memberships, or any other features powered by the web and associated plugins, you expressly acknowledge, understand, and agree to these Terms in their entirety. If you do not agree to every provision, you must immediately cease all use of the Platform and delete your account.

We may modify these Terms at any time. Continued use after changes constitutes your binding acceptance of the revised Terms. It is your sole responsibility to review them regularly.

1. Eligibility & Account Responsibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is higher) and fully capable of entering into binding contracts. By using the Platform, you represent and warrant that you meet these requirements.

You are solely and entirely responsible for your account, all activity under it, and maintaining the confidentiality of your password and login credentials. We are not liable for any unauthorized access or use of your account. You must notify us immediately of any suspected breach.

We reserve the absolute right to suspend, restrict, or permanently terminate any account at our sole discretion, with or without notice, for any reason or no reason.

2. License & Platform Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with these Terms. This license may be revoked at any time.

All use must be for lawful purposes only. The Platform is intended exclusively for legal activities. Any illegal, fraudulent, or harmful use is strictly prohibited.

3. Prohibited Conduct (Zero Tolerance)

You agree not to engage in any of the following (this list is non-exhaustive):

  • Violate any applicable law, regulation, or third-party rights.
  • Post, transmit, or facilitate any illegal, harmful, defamatory, obscene, pornographic, violent, discriminatory, harassing, threatening, or otherwise objectionable content.
  • Use the chat, messaging, or any communication features for spam, scams, solicitation, phishing, malware distribution, or unsolicited commercial messages.
  • Create or post fake, misleading, or fraudulent listings, advertisements, reviews, or profiles.
  • Engage in any form of fraud, misrepresentation, or deceptive practices in buying, selling, or advertising.
  • Infringe any intellectual property, privacy, publicity, or other proprietary rights.
  • Attempt to reverse engineer, scrape, hack, interfere with, or disrupt the Platform or any user experience.
  • Impersonate any person or entity.
  • Collect or harvest data from other users without explicit consent.
  • Use the Platform to facilitate the sale or distribution of prohibited items (counterfeits, illegal substances, stolen goods, firearms/weapons in violation of law, etc.).
  • Circumvent any security features, moderation tools, or access controls.
  • Overload the Platform with excessive or automated traffic.
  • Engage in any conduct that we determine, in our sole discretion, is harmful to the Platform, other users, or our reputation.

We actively monitor and moderate content (including chats) but have no obligation to do so. We may remove, hide, or delete any content at any time without notice or liability.

4. User Content & Intellectual Property

You retain ownership of content you upload, but by posting any content (listings, ads, chats, messages, photos, reviews, etc.), you grant us an irrevocable, perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, host, reproduce, modify, adapt, publish, translate, distribute, display, and promote such content in any form and for any purpose in connection with the Platform and our business.

You represent and warrant that all content you post is lawful, accurate, and does not violate any rights. We assume no responsibility or liability whatsoever for user-generated content.

All Platform content, design, logos, software (including web elements), and features are our exclusive intellectual property. Any unauthorized copying, scraping, framing, or derivative use is strictly prohibited and may result in legal action.

5. Marketplace, Ads, Listings, Buying, Selling & Chat

The Platform is a venue only. We are not a party to any transaction, sale, or agreement between users.

  • You are solely responsible for all aspects of your listings, advertisements, transactions, and communications.
  • All buying, selling, and interactions occur entirely at your own risk.
  • We provide no warranties regarding the quality, safety, legality, or truthfulness of any listings, products, services, or users.
  • We are not liable for any loss, damage, injury, fraud, non-delivery, defective goods, payment disputes, or any other issue arising from transactions or interactions on the Platform.
  • Chat and messaging are provided for convenience only. They are not guaranteed to be private. We may access, review, store, and disclose messages for safety, legal compliance, moderation, or any other reason in our sole discretion.

Use of all marketplace and chat features is strictly at your own risk. We strongly recommend exercising extreme caution, performing due diligence, and using appropriate safety measures in all dealings.

6. Payments & Memberships

All payments for memberships, featured listings, or other paid features are final and non-refundable except as expressly required by law. Subscriptions automatically renew until cancelled. We may change prices at any time.

7. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED STRICTLY ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, OR UNINTERRUPTED OPERATION.

We do not warrant that the Platform will be error-free, virus-free, secure, or that defects will be corrected. We are not responsible for any harm to your device, data loss, or any other damage resulting from use of the Platform.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZIMCHAT, ITS OWNERS, OPERATORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (including but not limited to loss of profits, data, goodwill, use, or other intangible losses) ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, ANY TRANSACTIONS, CHATS, LISTINGS, ADS, OR INTERACTIONS WITH OTHER USERS — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability to you shall not exceed the greater of CAD $50 or the amount you actually paid to us in the twelve (12) months preceding the claim.

These limitations apply even if any remedy fails its essential purpose.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zimchat, its owners, operators, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform
  • Your content or conduct
  • Any transaction or interaction with other users
  • Your violation of these Terms or any law
  • Your infringement of any third-party rights

This obligation survives termination of your account.

10. Termination

We may terminate or suspend your access at any time, for any reason or no reason, with or without notice. You may delete your account, but surviving provisions (including liability limitations, indemnification, IP licenses, and governing law) remain in full force.

11. Governing Law & Dispute Resolution

These Terms are governed exclusively by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of laws rules.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively in the courts located in Ontario (Toronto judicial district preferred). You irrevocably consent to the personal jurisdiction of such courts and waive any objections based on venue or inconvenience.

You waive any right to a jury trial and agree that all claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

12. Miscellaneous

  • These Terms constitute the entire agreement between you and us.
  • If any provision is held invalid, the remainder remains enforceable.
  • Our failure to enforce any right does not waive that right.
  • We are not liable for delays or failures due to force majeure events.
  • No agency, partnership, or joint venture is created.
  • These Terms are for the benefit of Zimchat and its successors.

By using Zimchat.com, you confirm that you have carefully read, fully understood, and voluntarily agreed to every provision of these Terms, including the strong liability protections, disclaimers, and risk allocations in favor of the operators.
